Welcome to Listinn Realty. These Terms of Service (Terms) govern your use of our website, mobile apps, and related services (collectively, the Platform). By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. Use of the Platform

The Platform connects users with property listings for rent, short-stay, purchase, or investment. To use the Platform, you must:

• Be at least 18 years old and legally capable of contracting
• Provide accurate and complete information when creating an account or listing a property
• Comply with applicable laws in your jurisdiction, including data protection and anti-money-laundering rules

You are responsible for your account credentials and all activity under your account. Identity verification (including NIN, BVN, and biometric checks where required) may be mandatory for certain features.

2. Regulatory compliance

Listinn operates subject to Nigerian law, including the Nigeria Data Protection Act 2023 (NDPA) and the NDPA General Application and Implementation Directive 2025 (GAID), enforced by the Nigeria Data Protection Commission (NDPC).

• Where Listinn qualifies as a Data Controller or Data Processor of Major Importance, it will register with the NDPC, designate a Data Protection Officer, apply appropriate security measures, conduct DPIAs for high-risk processing (including biometric KYC and cross-border transfers), notify the NDPC of personal data breaches within 72 hours where required, and file Compliance Audit Returns as applicable.
• You must provide accurate personal data, cooperate with lawful verification requests, and must not upload or process another person's personal data on the Platform without a lawful basis under the NDPA.
• Additional post-incorporation registrations and licences (CAC filings, tax registrations, and sector licences) will be maintained as operations expand. Using the Platform does not shift those corporate duties onto users except where the law makes you jointly responsible.

3. User conduct

You agree not to use the Platform to:

• Post false, misleading, or fraudulent property listings or information
• Engage in harassment, discrimination, or unlawful behaviour
• Upload harmful content, viruses, or malicious code
• Violate intellectual property rights or collect personal data without lawful authority
• Circumvent escrow or solicit off-platform payments to evade fees or AML controls

We may suspend or terminate accounts that violate these Terms.

4. Property listings

When listing a property, you agree to:

• Provide accurate details, including location, pricing, and availability
• Ensure you have the legal right to list (owner or authorised agent)
• Respond promptly to inquiries from prospective guests or tenants

We are not responsible for the accuracy of user listings or for conduct between users outside Platform facilitation.

5. Payments, fees, and escrow

The Platform may facilitate payments and charge fees for services. Escrow release conditions, caution fees, and dispute windows are set out in the Escrow & Payment Consent and the applicable booking agreement. Payments are processed by secure third-party providers. You are responsible for taxes and other costs tied to your transactions.

6. Intellectual property

Platform content is owned by Listinn or its licensors and protected by applicable IP laws. You may not reproduce or modify Platform content without written consent, except for personal non-commercial use.

By uploading content (for example property images), you grant Listinn a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content to provide the services.

7. Limitation of liability

The Platform is provided as is without warranties of any kind, to the maximum extent permitted by law. We are not liable for:

• Errors or inaccuracies in listings or user-provided information
• Losses from transactions or interactions between users
• Interruptions, technical issues, or incidents beyond our reasonable control

Our total liability to you will not exceed the fees you paid to us in the past 12 months, except where liability cannot be limited by law.

8. Termination

We may suspend or terminate access for Terms violations, fraud risk, or inactivity. You may request account closure subject to the Account Deletion Policy and any open bookings or escrow obligations.

9. Dispute resolution

These Terms are governed by the laws of Nigeria. Disputes arising from Platform use will be resolved through:

• Negotiation: good-faith informal resolution first
• Arbitration: failing that, binding arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023

Booking-specific disputes may first go through Listinn Protect as described in the applicable agreement.

10. Changes to these Terms

We may update these Terms for service or legal changes. Material changes will be published on the Platform and may trigger a fresh policy-acceptance gate. Continued use after the effective date constitutes acceptance.
